CTCP Xây dựng Hạ tầng CII (CEE), tổ chức có liên quan đến ông Lưu Hải Ca - Chủ tịch HĐQT CTCP Đầu tư Năm Bảy Bảy (HOSE: HM:NBB), vừa mua thành công 91% trong tổng số 7 triệu cp NBB đã đăng ký trước đó.

Trước đó, CEE đã đăng ký mua 7 triệu cp NBB trong thời gian từ 02/11-01/12/2022. Tuy nhiên, do chưa đạt được giá mong muốn nên CEE chỉ mua được hơn 6.4 triệu cp NBB theo phương thức khớp lệnh và thỏa thuận.

Trước giao dịch, CEE không sở hữu cổ phần nào của NBB. Sau khi mua thành công hơn 6.4 triệu cp, CEE trở thành cổ đông lớn tại NBB với tỷ lệ sở hữu 6.43%.

Với thị giá bình quân 14,570 đồng/cp (tính từ ngày 02/11-01/12), ước tính CEE đã chi hơn 93 tỷ đồng để hoàn tất thương vụ này.

Thông tin thêm, tại thời điểm 30/09/2022, CEE là công ty con do CTCP Đầu tư Hạ tầng Kỹ thuật Thành phố Hồ Chí Minh (HOSE: CII) sở hữu 80% vốn điều lệ. Đồng thời, CII cũng đang sở hữu 37.52% vốn điều lệ tại NBB và ghi nhận là công ty liên kết.

Như vậy, bản chất giao dịch trên là CII thông qua công ty con CEE để nâng sở hữu tại NBB.

Động thái gia tăng sở hữu NBB của CII thông qua công ty con diễn ra trong bối cảnh cổ phiếu NBB đang được giao dịch ở vùng giá thấp. Phiên chiều 02/12, thị giá NBB quanh mức 15,250 đồng/cp, giảm gần 75% so với đỉnh gần 60,000 đồng/cp ngày 11/01.

Diễn biến giá cổ phiếu NBB từ đầu năm 2022 đến nay

Ở chiều ngược lại, bà Nguyễn Thị Thu Hiền vừa bán ra 179,000 cp NBB để giảm tỷ lệ sở hữu từ 5.12% xuống còn 4.94%, qua đó không còn là cổ đông lớn tại NBB. Giao dịch được thực hiện trong phiên 24/11/2022.

Cùng phiên, một cổ đông lớn khác là ông Nguyễn Văn Thịnh cũng báo cáo kết quả bán ra 359,300 cp NBB để giảm tỷ lệ sở hữu từ 5.03% xuống còn 4.67%.
