Sáng 28/12, Tổng Công ty Phát triển Đô thị Kinh Bắc (HOSE: HM:KBC) đã tổ chức thành công Đại hội đồng cổ đông bất thường lần 2 và thông qua nhiều nội dung quan trọng. Về giảm vốn điều lệ, cổ đông KBC nhất trí thông qua phương án mua lại 100 triệu cổ phiếu, tương ứng 13% số lượng cổ phiếu đang lưu hành.

Phương thức giao dịch là khớp lệnh hoặc thỏa thuận theo giá thị trường tại thời điểm giao dịch nhưng không cao hơn 34.000 đồng/cp, tương ứng với số tiền chi tối đa là 3.400 tỷ đồng.

Hiện KBC giao dịch ở giá 22.850 đồng/cp và mức giá tối đa mà công ty mua lại cao hơn khoảng 30%. CTCP Chứng khoán Navibank sẽ là đại lý thực hiện giao dịch mua cổ phiếu.

Đồng thời, KBC hủy phương án chào bán 150 triệu cổ phiếu riêng lẻ năm 2022 theo nghị quyết đại hội cổ đông ngày 10/2/2022.

Trong bối cảnh diễn biến của thị trường chứng khoán trong năm 2022 bị sụt giảm mạnh, hầu hết các cổ phiếu bị giảm giá nghiêm trọng trong đó có KBC.

Do đó cổ đông xác định điều kiện không thuận lợi cho việc phát hành cổ phiếu riêng lẻ để tăng vốn điều lệ, thống nhất chưa triển khai phương án phát hành cổ phiếu riêng lẻ trong năm 2022 như đã được phê duyệt trước đó.

Về phương án trả cổ tức, KBC sẽ thanh toán cổ tức năm 2023 bằng tiền tỷ lệ 20%, tương ứng với mỗi cổ phiếu cổ đông sở hữu nhận được 2.000 đồng. Thời gian dự kiến thực hiện trong năm 2023. Công ty có thể chi trả hoặc tạm ứng cho cổ đông thành một đợt hoặc nhiều đợt trong năm.
