Tài sản đảm bảo gồm tài khoản thế chấp tiền mặt tại OCB; cổ phần của NLG (HM:NLG) tại CTCP Nam Long VCD (1.850 tỷ đồng) và Mizuki (1.500 tỷ đồng). HĐQT CTCP Đầu tư Nam Long (HOSE: NLG) vừa thông qua nghị quyết phát hành trái phiếu theo hình thức riêng lẻ, với tổng giá trị huy động 500 tỷ đồng.

Lô trái phiếu có khối lượng tối đa 500 trái phiếu, mệnh giá 1 tỷ đồng/trái phiếu, kỳ hạn 7 năm, được phát hành theo hình thức bút toán ghi sổ hoặc dữ liệu điện tử, cấp trích lục sổ đăng ký khi có yêu cầu.

Đây là trái phiếu không chuyển đổi, không kèm chứng quyền và có tài sản đảm bảo gồm Tài khoản thế chấp tiền mặt tại Ngân hàng TMCP Phương Đông (HOSE: OCB) hiện có giá trị 0 đồng (số dư sẽ được xác định theo thỏa thuận với nhà đầu tư và phù hợp với hợp đồng đặt mua trái phiếu); cổ phần tại CTCP Nam Long VCD do NLG sở hữu với tỷ lệ 51% vốn điệu lệ, có giá trị 1.850 tỷ đồng; cổ phần phổ thông và ưu đãi cổ tức tại CTCP NHH (HM:NHH) Mizuki do NLG sở hữu, tương ứng 50% vốn điều lệ và có giá trị 1.500 tỷ đồng.

Lãi suất áp dụng là lãi kết hợp, được xác định bằng tổng lãi suất cơ bản cố định cộng biên độ 3.5%/năm. Trong đó, lãi cơ bản là mức lãi được thỏa thuận, xác định tại thời điểm giải ngân.

Lô trái phiếu dự kiến được phát hành vào quý 4/2022. Việc mua lại trước hạn sẽ được thực hiện vào năm thứ 3, thứ 5 hoặc theo thỏa thuận với nhà đầu tư.

Số tiền thu được dự kiến được sử dụng để thực hiện dự án Waterpoint giai đoạn 2 thông qua hình thức góp vốn vào công ty con là CTCP Nam Long VCD.

Trước đó, vào tháng 6/2022, NLG đã phát hành riêng lẻ 500 tỷ đồng lô trái phiếu, với khối lượng, mệnh giá và kỳ hạn tương đương lô nêu trên. Ngày phát hành là 28/3/2022, hoàn tất vào 14/06/2022 và đáo hạn vào 28/3/2029. Tài sản đảm bảo là cổ phần của NLG tại Nam Long VCD và CTCP NNH Mizuki, cùng tài khoản ngân hàng của NLG.
