Với thị giá hiện tại, nếu chi 1.000 tỷ đồng Nam Long sẽ mua lại được khoảng hơn 46 triệu cổ phiếu NLG (HM:NLG). CTCP Đầu tư Nam Long (mã chứng khoán NLG) công bố Nghị quyết Hội đồng quản trị về việc thông qua chủ trương mua lại cổ phiếu NLG.

Theo đó Nam Long quyết định mua lại số cổ phiếu NLG với tổng giá trị không vượt quá 1.000 tỷ đồng. Nguồn vốn mua lại trích từ lợi nhuận chưa phân phối của công ty. Việc mua lại cổ phiếu này sẽ được công ty thực hiện theo trình tự.

Hội đồng Quản trị công ty uỷ quyền cho Chủ tịch HĐQT chỉ đạo Ban Tổng giám đốc tiến hành lập phương án chi tiết để trình Đại hội đồng cổ đông phê duyệt và triển khai.

Về tình hình kinh doanh, doanh thu 9 tháng đầu năm 2022 của Nam Long đạt 2.710 tỷ đồng, gấp 3,5 lần so với doanh thu 787 tỷ đồng đạt được cùng kỳ năm ngoái. Tuy vậy doanh thu tài chính giảm, chi phí tài chính tăng cao, cùng với đó là không có khoản thu nhập khác 430 tỷ đồng như cùng kỳ, dẫn tới lợi nhuận sau thuế giảm đến 61% xuống còn 276 tỷ đồng.

Tính đến 30/9/2022 Nam Long còn 2.171 tỷ đồng lợi nhuận sau thuế chưa phân phối. Ngoài ra công ty còn 2 tỷ đồng quỹ khác thuộc vốn chủ sở hữu, hơn 10 tỷ đồng trong quỹ đầu tư phát triên và 2.643 tỷ đồng thặng dư vốn cổ phần.

Trên thị trường cổ phiếu NLG vừa cỏ 3 phiên tăng trần liên tiếp, lên mức 21.550 đồng/cổ phiếu. Tạm tính theo thị giá này, nếu chi 1.000 tỷ đồng, Nam Long sẽ mua lại được khoảng 46,6 triệu cổ phiếu NLG.

Từ lâu nay động thái doanh nghiệp mua lại cổ phiếu làm cổ phiếu quỹ khá phổ biến. Đặc biệt những nhịp giảm sâu của thị trường thì việc doanh nghiệp chi tiền mua lại cổ phiếu làm cổ phiếu quỹ nhằm giảm áp lực bán trên thị trường, “đỡ giá” cổ phiếu thường xuyên xảy ra. Số cổ phiếu quỹ này được sử dụng tuỳ từng thời điểm khác nhau, có doanh nghiệp dùng làm cổ phiếu thưởng cho các cổ đông, lãnh đạo công ty; có doanh nghiệp chờ thị trường ổn định sẽ bán ra; có doanh nghiệp sẽ huỷ, giảm vốn điều lệ…

Tuy vậy, theo Luật Chứng khoán 2019, có hiệu lực từ 1/1/2021, doanh nghiệp mua cổ phiếu quỹ bắt buộc phải hủy số lượng cổ phiếu quỹ đã mua, giảm vốn điều lệ.

Như vậy theo quy định mới, doanh nghiệp mua lại cổ phiếu làm cổ phiếu quỹ sẽ phải thực hiện thông qua ý kiến cổ đông để huỷ số cổ phiếu đã mua, giảm vốn điều lệ. Đồng thời trong vòng 6 tháng tiếp theo không thực hiện phát hành cổ phiếu tăng vốn điều lệ.
