Trước đó Tổng công ty Idico đã lên phương án mua lại cổ phiếu làm cổ phiếu quỹ và giảm vốn điều lệ. Tổng Công ty Idico (mã chứng khoán IDC (HN:IDC)) đã ban hành Nghị quyết Hội đồng quản trị về việc ngừng thực hiện phương án mua lại cổ phiếu IDC làm cổ phiếu quỹ và giảm vốn điều lệ vào thời điểm thích hợp.

Lý do Idico đưa ra là do hồ sơ chưa đảm bảo theo quy định.

Cụ thể hơn, Idico cho biết sau khi rà soát lại các điều kiện về hồ sơ, tài liệu báo cáo mua lại cổ phiếu theo quy định, Idico kết luận:

- Về tài liệu, hồ sơ mua cổ phiếu quỹ, theo quy định, để thực hiện mua lại cổ phiếu quỹ thì Tổng công ty cần đảm bảo đầy đủ hồ sơ, bao gồm Báo cáo tài chính gần nhất được kiểm toán, và tài liệu chứng minh công ty có đủ nguồn để mua lại cổ phiếu…

- Trên cơ sở các quy định nêu trên, Tổng công ty Idico có thể sử dụng BCTC năm 2021 đã kiểm toán. Tuy nhiên nguồn để mua lại cổ phiếu theo BCTC hợp nhất năm 2021 đã kiểm toán là chưa đảm bảo vì trong năm 2022 Tổng công ty và các công ty con đã thực hiện chia cổ tức, tạm ứng cổ tức từ nguồn lợi nhuận sau thuế chưa phân phối trên BCTC hợp nhất năm 2021.

- Như vậy đến thời điểm hiện tại, các tài liệu để mua cổ phiếu quỹ vẫn chưa đảm bảo theo quy định.

- Vì vậy Tổng công ty Idico đã có văn bản đề nghị UBCKNN chấp thuận cho Idico sử dụng BCTC hợp nhất quý 3.2022 do công ty tự lập hoặc BCTC hợp nhất đã soát xét cho kỳ kế toán kết thúc ngày 30/6/2022 để làm tài liệu chứng minh có đủ nguồn để mua lại cổ phiếu làm cổ phiếu quỹ hoặc đề nghị Uỷ ban chứng khoán Nhà nước hướng dẫn để Idico thực hiện đúng quy định hiện hành.

- Trong thời gian chờ hướng dẫn, HĐQT thống nhất tạm ngưng và sẽ xem xét thực hiện mua lại cổ phiếu làm cổ phiếu quỹ và giảm vốn điều lệ vào thời gian thích hợp.
