AiVIF.com – Tập đoàn BHP (ASX:BHP) đã đưa ra đề nghị mua lại công ty khai thác đồng OZ Minerals của Úc (ASX:OZL) với giá 9,6 tỷ đô la Úc ($1= 0,6711 đô la Úc ) vào thứ Năm, đặt số phận của thỏa thuận lâu dài vào tay các cổ đông.

Trong Chứng thư thực hiện kế hoạch được đệ trình lên Sở giao dịch chứng khoán Úc, BHP cho biết các cổ đông của OZ hiện sẽ bỏ phiếu về thỏa thuận này vào cuối tháng 3 đến đầu tháng 4. Hội đồng quản trị OZ tháng trước đã chấp nhận đề nghị của BHP và giới thiệu nó với các cổ đông.

Thỏa thuận này cũng phải được phê duyệt theo quy định tại Úc, Brazil, Việt Nam.

Sau khi bị từ chối trong lần đầu tiên tiếp cận OZ vào đầu năm nay, BHP đã đưa ra đề nghị mức tiền mặt cao hơn là 28,25 đô la Úc trên mỗi cổ phiếu vào tháng 11, vì có vẻ như họ sẽ mở rộng lợi ích của mình trong việc khai thác đồng và niken.

Động thái này diễn ra khi BHP xoay trục xa hơn khỏi nhiên liệu hóa thạch và hướng tới thứ mà họ coi là tương lai của năng lượng sạch.

Đồng và niken là những phần không thể thiếu của cơ sở hạ tầng năng lượng sạch và đã chứng kiến nhu cầu gia tăng trong những năm gần đây trong bối cảnh ô tô điện và năng lượng tái tạo ngày càng phổ biến.

Thỏa thuận này sẽ đưa BHP trở thành một trong những nhà sản xuất đồng lớn nhất thế giới, với công ty khai thác lớn nhất thế giới dự báo nhu cầu về kim loại đỏ sẽ tăng đột biến trong những năm tới.

OZ Mineral nắm giữ các dự án gần mỏ Olympic Dam của BHP ở Nam Úc, đó cũng là lý do tại sao công ty khai thác Anh-Úc đang tìm cách sáp nhập công ty này.

BHP có kế hoạch tài trợ cho thỏa thuận thông qua tiền mặt và nhận khoản nợ mới.

Thỏa thuận này là thỏa thuận khai thác lớn nhất ở Úc kể từ khi BHP mua lại Tập đoàn năng lượng Petrohawk vào năm 2011 với giá 12,1 tỷ USD.

Nhưng kể từ đó, BHP đã bán tất cả tài sản dầu khí của mình cho Woodside (OTC:WOPEY) Oil, đồng thời cắt giảm quy mô hoạt động kinh doanh than của mình. Gã khổng lồ khai thác mỏ cũng dự đoán nhu cầu xuất khẩu quặng sắt chủ chốt của họ sẽ ổn định trong những năm tới.
