Vietstock - Vietcombank (HM:VCB) chuẩn bị tổ chức ĐHĐCĐ bất thường 

Ngân hàng TMCP Ngoại Thương Việt Nam (Vietcombank, HOSE: VCB) thông báo 30/12/2022 là ngày chốt danh sách cổ đông tham dự họp ĐHĐCĐ bất thường 2023.

 

Vietcombank dự kiến tổ chức ĐHĐCĐ bất thường vào ngày 30/01/2023 để bầu bổ sung thành viên HĐQT nhiệm kỳ 2018-2023. Đồng thời, Ngân hàng dự kiến trình ĐHĐCĐ về việc kéo dài thời gian thực hiện phương án tăng vốn điều lệ thông qua phát hành cổ phiếu VCB và một số tờ trình khác (nếu có).

Trước đó, Vietcombank đã thông báo miễn nhiệm chức danh thành viên HĐQT đối với ông Phạm Anh Tuấn từ ngày 01/12/2022 vì ông Phạm Anh Tuấn được Ngân hàng Nhà nước bổ nhiệm giữ chức Vụ trưởng Vụ Thanh toán.

Về kế hoạch tăng vốn, ĐHĐCĐ thường niên 2022 đã thông qua phương án tăng vốn điều lệ năm 2022 bằng hình thức phát hành cổ phiếu trả cổ tức năm 2019 và 2020.

Cụ thể, Vietcombank dự kiến phát hành gần 856.6 triệu cp để trả cổ tức theo tỷ lệ 18.1% (cổ đông sở hữu 1,000 cp được nhận thêm 181 cp mới).

Đối tượng phát hành là các cổ đông có tên trong danh sách cổ đông của Vietcombank tại thời điểm chốt quyền, được xác định theo thông báo về ngày chốt quyền của Ngân hàng đối với đợt phát hành cổ phiếu để trả cổ tức từ nguồn lợi nhuận còn lại năm 2019 sau thuế, sau khi trích lập các quỹ, chia cổ tức tiền mặt, chia cổ tức bằng cổ phiếu và nguồn lợi nhuận còn lại năm 2020 sau thuế, sau trích lập các quỹ và chia cổ tức bằng tiền mặt.

Dự kiến sau khi hoàn tất phát hành, vốn điều lệ Vietcombank sẽ tăng thêm gần 8,566 tỷ đồng, từ 47,325 tỷ đồng lên 55,891 tỷ đồng.

Việc tăng vốn điều lệ cũng sẽ tạo điều kiện để Vietcombank đầu tư cơ sở vật chất, hạ tầng công nghệ như xây dựng trụ sở làm việc, mở rộng mạng lưới hoạt động, đầu tư công nghệ và tài sản cố định (khoảng 500 tỷ đồng). Mở rộng hoạt động tín dụng, kinh doanh vốn và các hoạt động kinh doanh khác.
