Toàn bộ 200 tỷ đồng từ đợt chào bán sẽ được công ty dùng để trả nợ tại các ngân hàng SHB (HM:SHB), BIDV (HM:BID) và HDBank (HM:HDB). CTCP Xi măng Sài Sơn (Mã SCJ - UpCOM) thông báo về việc Chủ tịch HĐQT Nguyễn Sỹ Tiệp đăng ký mua vào 20 triệu cổ phiếu (giá trị tính theo mệnh giá 200 tỷ đồng) nhằm mục đích tăng sở hữu thông qua phương án chào bán cổ phiếu riêng lẻ của công ty.

Thời gian thực hiện dự kiến từ 12/1 - 18/1/2023.

Trước giao dịch, ông Tiệp đang là cổ đông lớn nhất nắm gần 24,2 triệu cổ phiếu SCJ (tỷ lệ 63,9%). Nếu giao dịch tới đây diễn ra thuận lợi, Chủ tịch SCJ sẽ nâng sỏ hữu tại doanh nghiệp nhà lên gần 44,2 triệu cổ phiếu - tương ứng tỷ lệ gần 76,4%.

Được biết đầu tháng 12/2022, HĐQT Xi măng Sài Sơn đã thông qua Nghị quyết về việc chào bán cổ phiếu riêng lẻ năm 2022 với số lượng 20 triệu cổ phiếu cho ông Nguyễn Sỹ Tiệp; giá chào bán 10.000 đồng/cổ phiếu.

Thời gian dự kiến trong năm 2022 hoặc quý 1/2023 sau khi được UBCKNN chấp thuận.

Sau chào bán, vốn điều lệ của công ty sẽ tăng từ 378 tỷ đồng lên 578 tỷ - tương ứng 57,8 triệu cổ phiếu.

Toàn bộ 200 tỷ đồng từ đợt chào bán sẽ được công ty dùng để trả nợ tại các ngân hàng SHB, BIDV và HDBank.

Ghi nhận tại báo cáo tài chính quý 3/2022, nợ phải trả của SCJ tăng lên mức 1.630 tỷ đồng - gấp tới 3,4 lần quy mô vốn chủ sở hữu (chỉ 479 tỷ). Trong cơ cấu nợ phải trả, các khoản vay nợ tài chính ở mức 1.487 tỷ đồng - chiếm tỷ lệ 91,2%.

Về kết quả kinh doanh, lũy kế 9 tháng năm 2022, Xi măng Sài Sơn đạt tổng doanh thu gần 750 tỷ đồng - giảm 25% so với năm 2021 - tương ứng 74% kế hoạch năm; lợi nhuận sau thuế thu về 10,9 tỷ đồng - giảm 20% so với cùng thời điểm song đã hoàn thành được 83% chỉ tiêu cả năm 2022.

Trên thị trường chứng khoán, cổ phiếu SCJ ghi nhận thanh khoản trung bình phiên gần 10.000 đơn vị, mã kết phiên sáng 9/1/2023 ở mức 3.000 đồng.
